New Avnet Embedded EMEA XP paper reveals denial, danger & hacking

Avnet Press Release:

New Avnet Embedded EMEA XP paper reveals denial, danger & hacking

Nov 26, 2013
Maidenhead, UK - Avnet Embedded, a business group of Avnet Electronics Marketing EMEA, a business region of Avnet, Inc. (NYSE: AVT), today announced the publication of an opinion paper showing that the forthcoming withdrawal of support for Microsoft's Windows XP operating system creates a huge cybercriminal risk and that businesses are simply failing to take action against the dangers that it represents. Come April 8th 2014, the paper reports, these businesses will become immediate targets for hackers – putting users' and consumers' cash at risk all over the world.
In the paper, entitled Panic? What panic? Is the industry in denial over the death of XP?, Software Director of Avnet Embedded Nick Donaldson explains that the withdrawal of XP support means the end of security patches and updates, leaving many thousands of XP-based payment devices worldwide vulnerable to “zero day” hacker exploits. These devices range from chip and PIN terminals, to EPOS tills, to toll barriers, parking machines, and many others.
Additionally, the withdrawal of support will mean that the PCI (Payments Card Industry) organisation that oversees the security of online transactions will no longer certify these devices and payment methods and may impose fines of up to £400,000 for non-compliance.
Simple migration to a newer operating system, however, isn't much of an option: the paper explains that neither Windows 7 nor Windows 8 will run successfully on all the devices that XP currently supports, nor offer PCI-compliant security on them. Yet few of the businesses that manufacture, distribute or use these devices have apparently realised this, with 40% of respondents polled saying they had “yet to even start migrating off XP” and 20% saying they “were not planning to do so at all.”
Donaldson comments: “Put simply, many businesses are in denial about the dangers that these changes represent. We are talking here about an instantaneous loss of security that will immediately become exploitable by cybercriminals, leading potentially to the theft of millions. The businesses that manufacture, distribute and use these payment devices and mechanisms have been lulled into a false sense of security that they can simply deploy Windows 7 or 8 to do the same job as XP – but this just isn't true. Basically, if these businesses don't identify workable, PCI-compliant alternatives soon, there will be widescale consequences.”
The paper is available to download here http://www.avnet-emb.eu/white-papers/the-death-of-xp. For more information, and to speak to an Avnet Embedded spokesperson, use the contact information below.

ECO BOX AND CEQUAL PRODUCTS INC. REPLACE SAGE WITH NETSUITE CLOUD

NetSuite News Release:

ECO BOX AND CEQUAL PRODUCTS INC. REPLACE SAGE WITH NETSUITE CLOUD

Manufacturer and Distributor Select NetSuite for Supporting Business Growth, IT Cost Reduction and Streamlined Business
SAN MATEO, Calif.—November 25, 2013—NetSuite Inc. (NYSE: N), the industry's leading provider of cloud-based financials / ERP and omnichannel commerce software suites, today announced continued strong momentum among organizations abandoning Sage ERP systems in favor of NetSuite's integrated cloud business management suite. More than 500 former Sage users have upgraded to NetSuite, gaining greater business agility, visibility, efficiency and scalability for growth than is possible with Sage on-premise and hosted solutions, while significantly reducing IT cost and complexity. Two of these companies, Eco Box, a distributor of moving boxes and shipping supplies in San Antonio, Texas, and Cequal Products, Inc., a manufacturer of posture fitness products in Santa Monica, Calif., outlined the factors that prompted them to abandon Sage technology and the questions they asked before selecting and implementing NetSuite's cloud business management software during a recent webinar, now available on YouTube "Why It's Time to Upgrade from Sage to Cloud ERP".
With NetSuite's cloud solution, which includes financials / ERP, CRM, Ecommerce and professional services automation (PSA), former Sage users report they have been able to eliminate inefficient, labor-intensive administrative processes, data silos and their reliance on multiple third-party applications to supply functionality not included in Sage products, such as CRM and Ecommerce. The continued migration of Sage users to the NetSuite cloud comes on the heels of a recent study in which 74 percent of ERP decision-makers in the U.K. using Sage software that were interviewed said they were likely to move to the cloud. The survey, conducted by the YouGov UK research consultancy, also found that 44 percent of respondents didn’t believe that Sage had a strategy to get them to the cloud. Though the survey was based in the U.K., NetSuite has observed similar sentiments in the U.S. and elsewhere in the world, as more than 500 companies to date have switched from Sage to the NetSuite cloud. To learn more about what NetSuite offers to Sage users, please visit: http://www.netsuite.com/portal/landing/sage.shtml.
By moving to NetSuite, former Sage users have avoided the high time and cost penalty of on-premise servers, back-up systems, security infrastructure and software applications, each of which required regular maintenance, upgrades and troubleshooting by in-house IT staff. NetSuite’s cloud architecture has given former Sage users greater mobility in distributed business environments, with personnel at multiple domestic or international locations able to access the system on demand without the need for a problematic VPN connection. With real-time visibility into financials and operations not possible in a Sage environment, organizations that have upgraded from Sage to NetSuite report they have greater flexibility and scalability for business growth. In addition, the NetSuite OneWorld global business management solution has given former Sage users new capacity for global growth, with capabilities for multi-subsidiary management, global financial consolidation, multi-currency conversions and local taxation support.
Former Sage users such as EnvisionWare, Lightspeed, Laguna Tools, AbilityNet, Innovise, Opta Sports Data and Redstor have upgraded to NetSuite to:
  • Improve business efficiency by eliminating redundant data entry and the time, cost and errors associated with using separate systems for accounting, sales, customer support, marketing, inventory, and Ecommerce.
  • Gain a comprehensive real-time view across the organization with flexible, on-demand reporting and role-based dashboards.
  • Eliminate IT cost and complexity with NetSuite's proven, secure cloud solution that eliminates the cost of managing, maintaining, and upgrading business applications.
  • Grow the business with the broader functionality that Sage lacks, including CRM and cross-channel B2B and B2C commerce on websites and physical point-of-sale (POS) locations.
Eco Box and Cequal Products are among the companies running their growth-oriented businesses faster and more cost-efficiently in the NetSuite cloud:
Eco Box (www.ecobox.com), a distributor of shipping supplies and moving boxes in San Antonio, Texas, has more than doubled its revenue since replacing Sage Peachtree in 2006 with NetSuite ERP and NetSuite CRM. In addition, the company deployed the NetSuite SuiteCommerce platform for its B2B and B2C Ecommerce storefront and as a POS solution for its brick-and-mortar retail stores in Texas, gaining real-time integration with financials, inventory and order management not possible with Sage. Meanwhile, Eco Box is avoiding the expense of two to three full-time order management personnel otherwise required. Selected over SAP, Microsoft Dynamics GP, Salesforce.com and other Sage products, NetSuite has given Eco Box a highly transparent and scalable solution for growth and efficiency that allows the company to easily add new warehouses and stores. Building on its success, in 2011 Eco Box implemented the NetSuite OneWorld global business management solution to support business expansion into a subsidiary structure and manage financials across the entities. "The instant access to data we have with NetSuite gives us great insight and peace of mind, whereas with Sage we were always wondering where we stood and couldn’t really find out for 30 days," said Dale Malone, Eco Box Managing Partner. "Opening a new location is just so seamless in NetSuite, and our SuiteCommerce website has enabled us to grow Ecommerce immensely without adding headcount."
Cequal Products (www.cequal.com), a manufacturer of posture fitness products in Santa Monica, Calif., replaced Sage BusinessWorks and SugarCRM in 2006 with NetSuite to manage its financials with real-time transparency, support its manufacturing and inventory operations, and gain CRM capabilities for consumers buying over its website, as well as, B2B distributor and retailer customers. With NetSuite, Cequal can generate sales reports within an hour, compared to days required with its previous Sage system. NetSuite manufacturing support has enabled Cequal to streamline production of its flagship BedLounge product and other posture-related goods at its southern California plant, while the company can better manage inventory for its 700 SKUs and better source materials from about 20 suppliers. With NetSuite, Cequal has steadily increased its retail partner stores to more than 100, including Relax the Back and Ortho Mattress, while expanding international with B2B sales to Canada, Israel, Russia and Australia. "NetSuite has allowed us to reduce our resource usage significantly," said Daniel Hirsch, Cequal Chief Operating Officer. "The fact that NetSuite is in the cloud is a huge advantage because our workforce is spread out. NetSuite has enabled us to be flexible and grow the business without adding staff. Our ability to access information is significantly better so we have a much better handle on where we are."
Today, more than 16,000 companies and subsidiaries depend on NetSuite to run complex, mission-critical business processes globally in the cloud. Since its inception in 1998, NetSuite has established itself as the leading provider of enterprise-class cloud financials/ERP suites for divisions of large enterprises and mid-sized organizations seeking to upgrade their antiquated client/server ERP systems. NetSuite excels at streamlining business operations as demonstrated in a recent Gartner study naming NetSuite as the fastest growing financial management software vendor on a global basis. NetSuite continues its success in delivering the best cloud ERP/financials suites to businesses around the world, enabling them to lower IT costs significantly while increasing productivity, as the global adoption of the cloud is accelerating.

NVIDIA To Offer $1.3 Billion Of Convertible Senior Notes

NVIDIA Press Release:

Monday, November 25, 2013

NVIDIA To Offer $1.3 Billion Of Convertible Senior Notes

Net Proceeds to Primarily Fund Capital Return

SANTA CLARA, CA - NVIDIA Corporation (NASDAQNVDA) announced today its intention to offer, subject to market and other conditions, $1.3 billion aggregate principal amount of convertible senior notes due in 2018 in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933. In addition, the Company expects to grant the initial purchaser of the notes an option to purchase up to an additional $200 million aggregate principal amount of notes from the Company to cover any over-allotments.
NVIDIA intends to use the net proceeds of the offering to fund capital return to shareholders and for privately negotiated convertible note hedge transactions (after taking into account the proceeds to it from warrant transactions), each as described below, and for general corporate purposes.
Capital Return and Repurchase of Common Stock from Purchasers of Notes The Company intends to use the net proceeds of the offering primarily to fund the repurchase of shares of the Company's common stock and for quarterly dividend payments pursuant to the Company's recently announced $1.0 billion fiscal 2015 capital return program. The Company intends to use up to $200 million of the net proceeds of the offering to accelerate this capital return program through the repurchase of shares of its common stock from purchasers of the notes in privately negotiated transactions through the initial purchaser as the Company's agent, which are expected to be consummated concurrently with the offering. The price of the common stock repurchased in these transactions is expected to equal the closing price per share of the Company's common stock on the date of the pricing of the offering. Repurchases of shares of the Company's common stock could increase, or prevent a decrease in, the market price of the Company's common stock or the notes. In the case of repurchases effected concurrently with this offering, this activity could affect the market price of the Company's common stock concurrently with the pricing of the notes, and could result in a higher effective conversion price for the notes.
Privately Negotiated Convertible Note Hedge Transactions The Company expects to enter into convertible note hedge transactions with the initial purchaser for the offering and in connection therewith, the Company also intends to enter into separate privately negotiated warrant transactions with the initial purchaser. These convertible note hedge transactions are expected to reduce the potential dilution with respect to the Company's common stock upon conversion of the notes or offset any cash payments the Company is required to make in excess of the principal amount of converted notes, as the case may be, upon any conversion of notes; however, the warrant transactions could have a dilutive effect with respect to the Company's common stock to the extent that the market price per share of the Company's common stock exceeds the strike price of the warrants.
The Company has been advised that, in connection with establishing their initial hedge positions with respect to the convertible note hedge and warrant transactions, the initial purchaser expects to purchase shares of the Company's common stock or enter into various derivative transactions with respect to the Company's common stock concurrently with, or shortly after, the pricing of the notes. These hedging activities could increase (or reduce the size of any decrease in) the market price of the Company's common stock or the notes.
In addition, the initial purchaser may modify its hedge positions (and are likely to do so during the observation period related to any conversion of notes or following any repurchase of notes by the Company on any fundamental repurchase date or otherwise) by entering into or unwinding various derivatives with respect to the Company's common stock or purchasing or selling common stock or other securities of the Company in secondary market transactions following the pricing of the notes and prior to the maturity of the notes.
This announcement does not constitute an offer to sell, or the solicitation of an offer to buy, any securities. Any offers of the notes or any of the Company's common stock issuable upon conversion of the notes will be made only by means of a confidential offering memorandum. The notes, the convertible note hedge transactions, the warrants and any shares of the Company's common stock underlying these securities have not been and will not be registered under the Securities Act of 1933 or the securities laws of any other jurisdiction and may not be offered or sold in the United States without registration or an applicable exemption from registration requirements.
