Use of Non-GAAP Financial Information
This press release contains supplemental non-GAAP financial measures including the following: non-GAAP adjusted net income, non-GAAP adjusted net income per diluted share and non-GAAP unlevered free cash flow. The presentation of this supplemental non-GAAP financial information, which is not prepared under any comprehensive set of accounting rules or principles, is not intended to be considered in isolation or as a substitute for, or superior to, the financial information prepared and presented in accordance with generally accepted accounting principles in the United States. In particular, adjusted net income, adjusted net income per diluted share and unlevered free cash flow should not be considered as measurements of the company's financial performance or liquidity under U.S. GAAP, as alternatives to income, operating income, cash flow from operation or any other performance measures derived in accordance with U.S. GAAP or as alternatives to cash flow from operating activities as a measure of the company's liquidity. Adjusted net income, adjusted net income per diluted share and unlevered free cash flow have limitations as analytical tools and should not be considered in isolation from, or as substitutes for, analysis of AVG's results of operations, including its cash flows, as reported under U.S. GAAP. Some of the limitations of adjusted net income, adjusted net income per diluted share and unlevered free cash flow as financial measures are:
  • they do not reflect the company's future requirements for capital expenditure or contractual commitments, nor, in the case of the income measures, do they reflect the actual cash contributions received from customers;
  • except in the case of free cash flow, they do not reflect changes in, or cash requirements for, the company's working capital needs;
  • they do not reflect the interest expense, or the cash requirements necessary to service interest or principal payments, on the company's debt;
  • although amortization and share-based compensation are non-cash charges, the assets being amortized will often have to be replaced in the future and such measures do not reflect any cash requirements for such replacements; and
  • other companies in AVG's industry may calculate these measures differently than AVG does, limiting their usefulness as comparative measures.
Because of these limitations, investors should rely on AVG's consolidated financial statements prepared in accordance with U.S. GAAP and treat the company's non-GAAP financial measures as supplemental information only.
AVG is providing these non-GAAP financial measures because it believes that such measures provide important supplemental information to management and investors about the company's core operating results, primarily because the non-GAAP financial measures exclude certain expenses and other amounts that management does not consider to be indicative of the company's core operating results or business outlook. AVG management uses these non-GAAP financial measures, in addition to the corresponding U.S. GAAP financial measures, in evaluating the company's operating performance, in planning and forecasting future periods, in making decisions regarding business operations and allocation of resources, and in comparing the company's performance against its historical performance.
For a reconciliation of these non-GAAP financial measures to the most directly comparable financial measures prepared in accordance with U.S. GAAP, please see "Reconciliation of U.S. GAAP to non-GAAP Financial Measures." All non-GAAP financial measures should be read in conjunction with the comparable information presented in accordance with U.S. GAAP.

ScaleMatrix Safeguards 100 Terabytes of Data and Continuity of Cloud Services with CA Technologies

CA ARCserve Forms the Basis of Managed Data Security Services That Uses Cloud Storage to Minimize Cost
ISLANDIA, N.Y., August 2, 2012 – CA Technologies (NASDAQ: CA) today announced that ScaleMatrix, a colocation, private cloud hosting and managed services provider, is using CA ARCserve® to support its managed data security service that protects more than 100 terabytes of customer data for disaster recovery, business continuity and highly available business services.
ScaleMatrix offers cutting-edge IT solutions that enable organizations to reduce costs, increase agility and safeguard compliance.  The company’s customers – many from heavily regulated sectors such as finance, biomedical and government – demand exceptional data availability and service continuity.  The company needed a recovery management solution that would work across physical and virtual environments and a robust platform for simple cloud management.

“Our customers are under pressure to reduce IT spend while complying with regulations that impact the storage and management of data,” said James Heller, marketing director, ScaleMatrix.  “To help our customers meet these goals, we need to ensure that our services combine data and system high availability with efficiency and cost-effectiveness.”
The need for effective disaster recovery was highlighted last year when south Texas suffered a series of prolonged power outages.  “The incident acted as a wake-up call for many businesses, as it impacted their ability to continue operating,” said Heller.  “Four to six hours of downtime is manageable, but beyond this, organizations’ operations are significantly impacted.”
To ensure ScaleMatrix’s services would provide the business continuity demanded by its clients, the company needed to extend its disaster recovery capabilities while simplifying the provisioning and management of its private cloud services.
CA ARCserve forms the basis of a ScaleMatrix managed data security service that uses cloud storage to minimize costs. The company also uses the CA AppLogic® cloud platform to support its private cloud services.
“We selected the CA Technologies solutions as they are scalable, easy to configure and integrate, and require minimal support,” adds Heller.  “They enable us to help organizations bring new services to market faster, comply with regulations and get more from their IT budgets.”
ScaleMatrix’s data security managed service integrates CA ARCserve with cloud storage offerings and an appliance-based solution to provide robust data availability at an affordable cost.  The level of availability can be varied according to individual customer or system needs, from simple backup to high availability and various options in between.
In addition to its customer offerings, ScaleMatrix uses CA ARCserve to replicate its own systems and data between its San Diego and Texas datacenters – mitigating the impact of local events such as power outages or natural disasters.
In total, more than 100 terabytes of ScaleMatrix and customer data is protected across a wide range of systems.  Recovery time varies from up to a day for those customers using basic backup services, to microseconds for those with real-time replication and failover.
The CA AppLogic cloud platform allows ScaleMatrix to establish and scale services very quickly, maximizing profitability while meeting customer demand for scalable and highly available services.  ScaleMatrix has ‘wrapped’ a number of applications, including CA ARCserve, to create pre-defined services that can be provisioned with CA AppLogic’s drag and drop interface.
“The success of ScaleMatrix underscores the value that service providers get from partnering with CA Technologies to quickly bring new, scalable offerings to market,” said Steve Fairbanks, vice president, Data Management, CA Technologies.  “CA Technologies enables them to do exactly that with ARCserve and AppLogic, which deliver reliable data protection and simplify the provisioning and management of cloud services.”

It receives updated geographic locations of all vehicles inits database every 30 seconds, and processes the data to an online portal for their clients use.Another subsidiary, DentalShow, will use the systems to process the queries of customers tohundreds of dental clinics. Additionally, ValeCard will be able to authorize transactions and monitor commercial supply throughout its network of more than 60,000 merchants and 3million users. The security and scalability of PureSystems is critical for these operations, whichmust comply with the standards and technical certifications of various government agencies.
“A great advantage of ValeCard is to serve its clients with customized projects. To keep this feature in the environment of high growth company, we maintain our capabilities beyond ourcurrent technology needs,” said Jose Geraldo Ortigosa, Valecard Operations Manager. “IBMPureSystems gives us freedom to grow, increase our availability, allow the creation of a hotenvironment for Disaster Recovery and puts the company in the right direction by using newtechnologies such as Cloud Computing.”
ValeCard anticipates that the project will generate gains in performance, enhanced data protection a significant increase in system scalability and provide a complete integration of the new environment with legacy data. This is critical to simplifying the administration and management issues that have resulted from the frequent acquisitions that the organization has made.
ValeCard will also benefit from the functionality of the IBM SmartCloud that is provided byPureSystems. IBM SmartCloud computing helps clients to reduce operating costs and speedsdevelopment time and delivery of new environments for the user.
PureSystems, introduced in April, is the result of $2 billion in research, development and acquisitions over four years and has been designed to help change the economics of IT, to help organizations reduce IT costs and complexity and put more resources towards innovation and growth.  With PureSystems, IBM has taken the unprecedented step of completely integrating all of the technology components – virtualized servers, storage, networking and cloud management software – needed to enable a customer to turn on a private cloud system within minutes. In addition, the highly scalable PureSystems cloud is delivered with built-in security and no single point of failure.

IBM Collaborates with Russian Innovation Giants to Boost Microelectronics Industry

News release:

IBM Collaborates with Russian Innovation Giants to Boost Microelectronics Industry

Cloud computing technologies to form basis of new virtual design fab
Saint Petersburg - 13 Jul 2012: IBM (NYSE: IBM) and five leading Russian innovation companies: the Skolkovo Foundation, Rusnano, Rostelecom, Russian Venture Company and ITFY, have signed a collaboration agreement to help spur a new wave of innovation in Russian technology.
The five Russian companies have joined forces to foster a culture of applied research and commercialization and attract key talent and investment from around the world in the area of microelectronics.
Key to the initiative is the creation of a new Electronics Technology Center (ETC) to be housed at the Skolkovo Innovation City. The agreement will give the Electronics Technology Center access to IBM’s intellectual property for chip design. IBM will also provide cloud computing technologies to form the basis of a new virtual design environment to be used to develop new microelectronic devices such as sensors to be used in smarter infrastructure projects, industry and consumer electronics.
“IBM is leading the way in collaborative innovation,” said Kirill Korniliev, General Manager, IBM Russia & CIS. “The ETC will use cloud technology to create a virtual working environment that brings together Russian innovation leaders where they can acquire, use and share design knowledge and spur a new wave of microelectronic innovation.”
The cloud will help unite Russia’s dispersed microelectronics development teams and provide access to advanced technologies and best practice and foster global collaboration. Russian chip designers and fabless design houses will be able to access new semiconductor technologies, including automation tools, design kits, libraries and intellectual property. The center will also provide access to a wide variety of semiconductor production processes offered by many different foundries.
The agreement was signed by Victor Vekselberg, President of the Skolkovo Foundation; Anatoly Chubais, CEO and Chairman of the Executive Board of Rosnano; Alexander Provotorov, President and Chairman of the Management Board of Rostelecom; Igor Agamirzian, CEO of Russian Venture Company; Evgeny Babayan, Chairman of the Board, ITFY; Leonid Svatkov, CEO ITFY; Bruno Di Leo, Senior Vice President IBM; and Kirill Korniliev, Country General Manager, IBM Russia & CIS.

"We are working with IBM to create an R&D ecosystem to kick start a new era in microelectronic devices design. Leveraging the latest cloud computing technologies, the Electronics Technology Center will provide customers with access to cutting-edge electronics technologies, design automation tools and specialist knowledge regardless of where they are geographically located," said Evgeny Babayan, Chairman of the Board, ITFY.

The ETC will initially focus on microelectronics design; however in the future it may be extended to other fields where cloud computing can support collaborative development projects.
IBM recently announced the opening of 10 new branch offices across Russia and the Commonwealth of Independent States (CIS) as part of a major initiative to capture regional business growth and increase its presence in the fastest growing markets in the world.
The move is part of an incremental investment of $6 million that IBM will make in 2012 in the Russia and CIS region to expand its operations and increase its footprint to 22 offices. To strengthen its support for clients and partners, IBM will also double its staff in the Russian regions and strengthen its business partner network across the Russia/CIS region to over 4,000 partners this year. IBM currently has branches in the following cities: Moscow, St. Petersburg, Rostov-on-Don, Kazan, Yekaterinburg, Perm, Krasnoyarsk, Novosibirsk, Ufa, Khabarovsk, Tyumen, Chelyabinsk, Nizhniy Novgorod, Samara, Krasnodar, Kiev (Ukraine), Dnipropetrovsk (Ukraine), Kharkiv (Ukraine) and Donetsk (Ukraine), Almaty (Kazakhstan), Tashkent (Uzbekistan).

The solution uses technology from Xtraction Solutions, a CA Technologies Select Technology Partner, which CA Technologies is reselling.

“Enterprise management tools have historically done very little to give business users the visibility they need into the present and historical state of IT,” said Scott Freitas, senior manager, IT Customer Support Services, Raymond James Financial. “With the Xtraction technology, we have significantly increased our transparency to the business—which, among other things, greatly enhances IT's image within the organization.”

It underscores CA Technologies commitment to leading the IT service management market with a differentiated user experience, optimized mobility, robust asset management, rapid time-to-value and the choice of a SaaS-delivered solution.
“As IT services become increasingly interwoven into all aspects of business operations, planning and strategy, it has become essential to give users the ability to understand those IT services in the context of their business needs," said Lokesh Jindal, senior vice president, Service and Portfolio Management, CA Technologies. "Xtraction for CA Service Management is a big step forward in achieving this understanding—thereby empowering the business to take a more active role in ensuring that IT is closely aligned with its needs and objectives.”

CA Clarity PPM Earns Strong Positive Rating From Leading Analyst Firm

ISLANDIA, N.Y., July 5, 2012 – CA Technologies (NASDAQ: CA) today announced that it has received a “strong positive” – the highest rating possible – in Gartner’s “MarketScope for Project and Portfolio Management Software Applications” report.*
This current Gartner evaluation analyzes on-premises and cloud-hosted PPM applications involving deployment of dedicated instances, either on-site or off-site, giving PPM customers complete control over their PPM investment, including customization, configuration and extension.
The report stated that, “Because cloud-hosted is not far removed from the traditional hosting of an on-premises instance of a PPM application, customers should expect deep levels of functionality, with the flexibility to customize, configure and extend the PPM product as they see fit. Customers can even choose to physically move their instance in-house with some degree of ease, if they so desire.”
CA Clarity™ Project and Portfolio Management (PPM), which can be deployed on-premises or as a service, supports both execution-level PPM customers and project portfolio-level PPM customers.
“We consider this recognition an acknowledgment of our work to help customers with their project and portfolio management goals,” said Lokesh Jindal, senior vice president, Service and Portfolio Management, CA Technologies. "We are committed to delivering on-premises and on-demand solutions that help our customers make better business decisions and maximize the returns on their investments in people and technology.”
In the report, Gartner assessed a number of factors for each vendor solution, including corporate and product strategy, solution capabilities, and customer experiences as well as pricing and consulting options.
CareFirst BlueCross BlueShield (CareFirst), the largest healthcare insurance provider in the Mid-Atlantic region of the U.S., uses CA Clarity PPM to track more than 150 projects with a total value of around $100 million.

“The key factors in our selection of CA Clarity PPM were its user-friendly interface, ability to track inter-dependencies between projects and integrations with Microsoft Project,” said Greg Miller, vice president, PMO, CareFirst. “We now have comprehensive visibility of all our permanent and contracted resources, complete with their skill sets and experience. Using CA Clarity PPM, we were able to identify that many of our contractors had only a small percentage of their time allocated. By eliminating roles that were not actually necessary for the business, we have been able to make cost savings of millions of dollars.”
